The trucks convey with the sale. The technicians don’t have to.
What you’re buying is a maintenance-agreement base and the people who service it. Start by counting the agreements that are still current.

Everything that earns the money can quit.
- The license the company works under may be the seller’s, and may leave with them.
- One technician holds most of what the company knows, and nobody’s told him it’s for sale.
- The agreement count is in the listing. Whether they’re still current isn’t.
- Customers have paid for visits that haven’t happened yet. That cash is in the seller’s account.
Three moves, in this order.
1. Start with the license. Whose name it’s in, and what happens to it at closing.
2. Count the agreements that are current, on the same date in each of the last three years. That turns the renewal rate into a fact.
3. Check what’s left against the loan. Debt coverage, break-even and twelve months of cash flow, at the crew size you’d actually be paying for.
You end up with a number built on the revenue that repeats, and a short list of what the seller has to explain.
An HVAC company valuation is only as good as the agreement base under it.

HVAC Lender Resume Template .docx | Six sections. Your experience and licensing, for whoever decides on the loan. |
HVAC Loan Document Checklist Guide | Seven sections of what a lender asks for — including round two. |
Spreadsheets open in Excel, Numbers or Sheets. Your numbers stay on your computer — nothing uploads.
No hype. No loan promises.
This won’t get you approved and it won’t tell you whether to buy. It helps you build the number yourself, early, while walking away is still free.
It can’t tell you whether the technicians will stay, and a license question needs your attorney.
We’re not lenders, brokers, attorneys or accountants. Where a question needs one, the files say so.
